Terms of service
These terms govern the supply of goods and decoration services by HINOKII PTE. LTD. ("HINOKII", "we", "us"), a company incorporated in Singapore, to you ("the client"). They apply to every quotation we issue and every order you place, whether through this website or by email, unless we have signed a separate written agreement with you.
1. Quotations and orders
A quotation is an invitation to order, not a binding offer, and is valid for thirty days unless it states otherwise. A contract is formed when we confirm your order in writing. Where an order requires decoration, the contract is formed on your written approval of the artwork or the pre-production sample, whichever we have asked you to approve.
Minimum order quantities are stated on the quotation and vary by product and decoration method.
2. Your artwork, and what you are confirming when you send it
By sending us a logo, mark or other artwork to apply to goods, you confirm that you own it or are licensed to use it, and you grant us permission to reproduce it for the purpose of your order and to hold it on file for reorders. You agree to indemnify us against any claim brought by a third party arising from our applying your artwork as instructed.
We will tell you before quoting if artwork cannot be reproduced legibly by the chosen method at the size available. Where that is the case we will offer to redraw it as a single-colour mark, or decline that decoration position.
3. Third-party brands
We resell goods made by other companies. Their trademarks and designs belong to them. We do not remove, cover or alter a maker's mark, and nothing on this website should be read as a claim that we manufacture those goods or that we are an authorised agent of the maker unless we have said so in writing.
4. Samples and approval
For any run above 300 units we produce a decorated pre-production sample for your written approval. Your approval fixes the specification. We are not responsible for an error that was present in artwork or a sample you approved.
5. Variance
Goods and decoration are subject to reasonable commercial variance. Colour on a screen will not match colour on a physical material exactly; a debossed or embroidered mark varies slightly between units; dye lots differ between production batches. Where exact quantity matters to you, tell us before we quote and we will confirm whether an exact count can be held.
6. Prices
Prices are in Singapore dollars. HINOKII PTE. LTD. is not registered for GST, so no GST is charged on our invoices and none may be claimed on them. Decoration, packaging and any sampling charge are quoted separately and are shown on the quotation. Prices quoted are held for the validity period of the quotation; after that they may change if our own costs have.
7. Payment
Payment terms are stated on the quotation or invoice. Unless we have agreed credit terms with you in writing, payment is due before goods are released. We may suspend work on an order while an invoice is overdue.
8. Changes and cancellation
You may change or cancel an order at no cost until production begins. Once decoration or custom packaging has started, the order cannot be cancelled and the goods cannot be returned, because they carry your mark and have no other buyer. Where production has begun we will charge for work completed and materials committed.
9. Delivery
Delivery is covered by our Shipping Policy, which forms part of these terms. Delivery dates confirmed in writing on a quotation are dates we undertake to keep; if a date is going to move we will tell you before it does.
10. If something is wrong
Our Refund Policy sets out what happens if goods arrive defective, short, or not to the approved specification, and forms part of these terms. Nothing in these terms limits any right you have under the Consumer Protection (Fair Trading) Act 2003 or the Sale of Goods Act 1979 of Singapore.
11. Our liability
We are responsible for supplying goods that match the approved specification and for the care with which we do the work. Our total liability arising out of any order is limited to the amount you paid for that order. We are not liable for loss of profit, loss of business, or any indirect or consequential loss.
Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded. Where you deal as a consumer, these limits apply only so far as the Unfair Contract Terms Act 1977 of Singapore allows.
12. Events outside our control
We are not liable for delay or failure caused by something outside our reasonable control, including supplier failure, shipping disruption, industrial action, fire, flood, epidemic or an act of government. Where such an event occurs we will tell you promptly and agree a revised date or, if that is not workable, refund what you have paid for undelivered goods.
13. Personal data
How we handle personal data is set out in our Privacy Policy, which forms part of these terms.
14. Governing law
These terms are governed by the law of Singapore. Any dispute is subject to the exclusive jurisdiction of the courts of Singapore.
15. Changes to these terms
We may update these terms. The version that applies to your order is the version published when we confirmed it.
